Terms and Conditions of Service Provision |
The following describes the terms on which C-FAR offers you access to our services. Please read these terms and conditions carefully. This User Agreement ("the Agreement") is a contract between you ("the User") and C-FAR and applies to your use of the Lexscien service made available through www.lexscien.org/lexscien/ ("the Service"). If you do not agree to be bound by the terms and conditions of this Agreement, please do not use or access our Services. By using all or any portion of the software you accept all the terms and conditions of the Agreement. Proprietary Rights All rights and titles related to the Lexscien service and associated software ("the Software") are owned by C-FAR or its suppliers. The structure, organization and code of the Software are the properties of C-FAR and its suppliers, and is protected by copyright and other intellectual property laws, international treaty provisions, and the applicable laws of the country in which it is being used. All rights and titles related to the information and materials accessed through the Service ("the Content") belongs to the participating organisations ("the Content Partners") as indicated in the Service's "Contents" section. This Agreement gives the User no rights to such content except as expressly specified in this Agreement. The User acknowledges such ownership and intellectual property rights and will not take any action to jeopardize, limit or interfere in any manner with the ownership or rights of C-FAR, it suppliers or Partners with respect to the Service, the Software or the Content. The User undertakes not to, or make it possible for other persons to, reverse engineer, decompile, disassemble or otherwise attempt to derive or discover the source code of the Software. No provision of this Agreement shall be interpreted as granting to the User any intellectual property rights in the Software, the Service or the Content. Use of Service, Information and Materials Under this Agreement C-FAR grants to the User a non-exclusive license to use the Service features and functions provided that such use is solely for personal and non-commercial purposes. The User may not transfer, assign, sub-license, lend, or re-sell the rights granted under this license. All rights to the material or information downloaded or copied from Lexscien remains the property of the Content Partner, and you may not modify, copy, reproduce, alter, create derivative works, or publicly display any component of the Content (except for the User's personal and non-commercial use) without the express permission of the relevant Content Partner. The User may not distribute to a third party any such material or information in any format on any terms and for any public or commercial purpose without the express permission of the relevant Content Partner. The User's eligibility to access the Service is at the discretion of C-FAR, and C-FAR may on reasonable grounds suspend such access at any time. Restricted Activities. The User undertakes that their submitted information and activities in using the Service shall not (a) contain any viruses, Trojan horses, worms, time bombs, cancelbots, easter eggs or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or other personal information; or (b) create liability for C-FAR or cause C-FAR to lose (in whole or in part) the services of their ISP's or other suppliers. The User undertakes not to use any robot, spider, other automatic device, or manual process to monitor or copy the Content except as provided for by the Service's inherent features as described in the user documentation. The User undertakes not to use any device, software or routine to bypass the Software's security and privacy measures, or to interfere or attempt to interfere with the proper working of the Service. The User undertakes not take any action that imposes an unreasonable or disproportionately large load on the Service's infrastructure. If the User uses, or attempt to use the Service for purposes other than retrieving information for personal and non-commercial use, including but not limited to tampering, hacking, modifying or otherwise corrupting the security, integrity or functionality of Service, the User's access will be terminated and the User will be subject to damages and other penalties, including criminal prosecution where available. Privacy C-FAR will only use the User's email address or any other personal information provided to contact the User in relation to their access to the Service, and will not give out any personal information to anyone outside C-FAR unless compelled by law. The User may review the personal information we hold on them at any time by selecting the "Profile" option within Lexscien. Any personal information you provide to us will be used in compliance with the laws concerning the protection of personal information, including the UK Data Protection Act 1998 and the EU General Data Protection Regulations (GDPR) effective from 25th May 2018. C-FAR will not sell or share any User details obtained by our account system to any third party. C-FAR will not send any unsolicited e-mail, except for subscription reminders and security notices. Your Protection C-FAR will only ever communicate with the User using their full name (if entered by the User). C-FAR will never request any bank or credit card information whatsoever, and will not request confirmation of personal details from within an e-mail. Data Collection and Usage C-FAR will store personal information provided by the User, and such User activity information as is required to manage the User's account. C-FAR also collects and stores aggregated statistical information about the use of the Service in order to ensure and manage Service quality. No Warranty The information and materials contained in this site, including text, graphics, links or other items are provided "as is," and "as available" without warranties of any kind.. C-FAR, its trustees, and Content Partners do not warrant the accuracy, adequacy or completeness of this information and materials and expressly disclaims liability for errors or omissions in this information and materials. No warranty of any kind, implied, express or statutory, including but not limited to the warranties of non-infringement of third party rights, title, merchantability, fitness for a particular purpose and freedom from computer virus, is given in conjunction with the information and materials. The information and materials contained in Lexscien are subject to change without notification. The features and functions of the Lexscien service may be changed without notification. Such changes will usually be made in the interests of service quality or efficiency. Limitation of liability In no event will C-FAR, its trustees, or the Content Partners, be liable for any damages of any kind whatsoever, including without limitation direct or indirect, special, incidental, or consequential damages, losses or expenses arising in connection with this Service or use thereof or inability to use it by any party, or in connection with any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure, even if C-FAR or its representatives are advised of the possibility of such damages, losses or expenses. Except as expressly provided herein, C-FAR makes no other warranties, either expressed or implied, regarding the Service, the Software or the Content, and the entire risk as to the quality and performance of the Service lies with the User. Jurisdiction and severability This agreement shall be governed by and construed in accordance with the laws of the United Kingdom, without giving effect to any principles of conflicts of law. Any lawsuit arising out of the use or content of this web site shall be filed in Woking, Surrey, United Kingdom. Any party bringing a lawsuit or providing us with notification indicating an intent to bring a lawsuit against C-FAR, its trustees, employees, contractors, associates, vendors, suppliers, partners, joint venture participants, its successors or assigns, arising out of the use or content of this service agrees that such lawsuit or intended lawsuit shall be based upon what is commonly known as "the English rule," whereby the losing party in any dispute will pay all legal costs of the winning party without limitation. If any provision of this agreement shall be deemed unlawful, void, or for any reason unenforceable by a court of competent jurisdiction, then that provision shall be modified to the extent necessary to render it enforceable without losing its intent, or severed from this Agreement if no such modification is possible, and not affect the validity and enforceability of any remaining provision. Expiry The provisions of this Agreement which reasonably require or contemplate performance after the expiration or termination of this Agreement shall be enforceable notwithstanding said expiration or termination. General The User agrees this Agreement constitutes "a writing signed by the User" under any applicable law or regulation. This is the entire agreement between the parties relating to the subject matter herein and it shall not be modified except with the consent of both parties. |
